Terms & Conditions

1. Acceptance of Terms

By placing an order with AxisValence, you agree to be bound by these Terms & Conditions. These terms govern the sale of all products and services offered by the company.

2. Pricing

• All prices are exclusive of applicable GST and other statutory taxes unless otherwise specified.
• Prices are subject to change due to changes in import duties, exchange rates, government regulations, material costs, or force majeure events.
• The applicable price will be the one prevailing at the time of dispatch unless otherwise agreed in writing.
  
  

3. Payment Terms

• Payments shall be made according to the quotation or order confirmation.
• Advance payments do not earn interest.
• Delayed payments may attract interest as specified in the purchase agreement.
• Orders may be withheld or cancelled in case of overdue payments.
  
  

4. Order Confirmation

All orders are subject to acceptance and confirmation by the Company. An order becomes binding only after written confirmation.

5. Delivery

• Delivery schedules are estimates only.
• The Company will make reasonable efforts to meet committed delivery dates.
• Delays due to product availability, logistics, government regulations, or force majeure shall not make the Company liable for damages.
• Delivery delays do not automatically entitle customers to cancel orders.
  
  

6. Warranty

• Products are covered against manufacturing defects for the warranty period specified in the sales order.
  • Warranty does not cover:
  • Normal wear and tear
  • Improper installation
  • Misuse or negligence
  • Unauthorized repairs or modifications
  • Damage caused by improper operating conditions
• Warranty claims must be reported in writing within the specified period after receipt.
  
  

7. Returns

Products may only be returned after obtaining prior written approval from the Company. Return freight and associated costs shall be borne by the customer unless otherwise agreed.

8. Intellectual Property

All product designs, software, drawings, manuals, trademarks, logos, and technical documentation remain the intellectual property of the Company or its licensors and may not be copied, reproduced, modified, or distributed without written permission.

9. Limitation of Liability

The Company’s liability shall be limited to the value of the products or services supplied. The Company shall not be liable for indirect, incidental, consequential, or special damages arising from the use of its products.

10. Governing Law

These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to arbitration and the exclusive jurisdiction of the courts.
